Affiliate Agreement

This Affiliate Agreement ("Agreement") is made and entered into by and between The Tri-Plex Millionaire and Team Guth Media, LLC ("Company") and the affiliate ("Affiliate") (collectively referred to as the "Parties") as of the date of Affiliate's acceptance of this Agreement.

WHEREAS, Company offers certain programs and services which may be marketed and sold by Affiliates;

WHEREAS, Affiliate desires to promote and sell Company's programs and services to potential customers; and

WHEREAS, the Parties wish to establish the terms and conditions governing their relationship.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows:

Enrollment and Eligibility

1.1. Affiliate Enrollment: Affiliate shall be enrolled as an affiliate upon acceptance of this Agreement and completion of any required registration process.

1.2. Active Status and Commissions: Affiliate's active status in the Company's organization is contingent upon maintaining an active subscription to the Company's programs and services. Affiliate will be eligible to receive commissions based on the established and advertised payout(s) of each campaign in which Affiliate is formally enrolled.

1.3. Inactive Status: If Affiliate becomes delinquent in their subscription for more than 60 days, Affiliate will forfeit future affiliate commissions and be moved to inactive affiliate status. To reactivate their status, Affiliate must submit a written request to the Company, and reinstatement will be at the sole discretion of the Company.

Commission Payouts

2.1. Commission Calculation: Affiliate will receive a portion of each completed sale made under their referral link based on the established and advertised payout(s) of each campaign.

2.2. Payout Schedule: Commissions will be paid on a 1099 basis every 5th of the month.

2.3. Payment Timing: Commissions will be paid after a minimum of 30 days have passed since the processing of each affiliate sale.

Obligations and Responsibilities

3.1. Marketing and Promotion: Affiliate shall promote and market Company's programs and services using ethical and legal methods, ensuring compliance with all applicable laws and regulations, including but not limited to the Federal Trade Commission (FTC) guidelines.

3.2. No Misrepresentation: Affiliate agrees not to misrepresent any aspects of the Company's educational materials or guarantees made by the Company.

3.3. Termination: The Company reserves the right to terminate Affiliate for any reason without notice, after paying all remaining applicable commissions to the Affiliate.

Governing Law and Jurisdiction

4.1. This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles.

4.2. Any legal action or proceeding arising out of or relating to this Agreement shall be exclusively brought in the federal or state courts located in the State of California, and the Parties consent to the personal jurisdiction of such courts.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior understandings, agreements, or representations, whether oral or written.

IN WITNESS WHEREOF, by submitting your request for affiliate status you agree to all terms outlined in this agreement.
